Terms

The terms of the UpsideTail membership and of using the website: what you get, how payment, cancellation and refunds work, and the community rules.

Last updated: 5 November 2026

1. Who we are and what these terms cover

UpsideTail is operated by Rymgo, MB, company code 306267949, SVS VAT LT100018045011, registered address Šumsko g. 298A, LT-02196 Vilnius, Lithuania (“we”, “us”). Contact: [email protected].

These terms apply to the website https://upsidetail.com and to the paid UpsideTail membership. By paying for a membership you accept these terms. How we handle personal data is described in the Privacy Policy.

2. What the membership is

The membership is paid access to a closed community of angel investors. It includes:

  • access to our private Telegram group;
  • Angel School, our educational programme, and its recordings while your subscription is active;
  • participation in Shark Tank format events where startups pitch to members.

The current programme, schedule and plan contents are described on the website. Investing in a deal is not part of the membership and is always a separate decision and a separate payment.

3. What the membership is not

We are not an investment advisor, a broker or a fund. Nothing on the website, in the group, at Angel School or at events is an offer or a recommendation to invest, or investment, legal or tax advice.

  • The membership fee pays for access to the community. It does not buy any investment, any share in a company or any return.
  • Joint investments are made through SPVs: separate legal entities, each of which enters one deal. Money for a deal goes to the SPV, not to UpsideTail. Participation in an SPV is governed by that SPV’s own documents; we show you the SPV terms before you commit a ticket.
  • Venture investments are high-risk and illiquid. The usual horizon is 5–10 years, exiting early is almost impossible, and you can lose the entire amount you invest. There are no guaranteed returns.
  • You decide on every investment yourself and at your own risk. Consider getting independent legal, tax and financial advice.
  • Materials about startups shared in the group or at events are for discussion. We do not guarantee that they are complete or accurate.

4. Who can join

  • You must be at least 18 years old and have full legal capacity. If you buy on behalf of a company, you confirm that you are authorised to act for it.
  • Membership is subject to our approval. After your first payment we may review your application before giving access. We may decline an application.
  • If your application is declined, you do not get access to the group; the subscription may be cancelled and the first payment refunded.

5. Your account and access

  • You log in with your Telegram account (Telegram Login). Keep your Telegram account secure: whoever controls it can use your membership.
  • The membership is personal and cannot be transferred or shared. Access to the private group is given through a personal join link. Do not pass it on to anyone.
  • When your access ends, our bot removes you from the group.

6. Prices, renewal, taxes and invoices

  • Plans: monthly, EUR 149 per month; quarterly, EUR 399 per 3 months; annual, EUR 1,490 per year.
  • You pay by card through Stripe. The subscription renews automatically at the end of each period, and the payment for the next period is taken from your card, until you cancel.
  • The price shown at checkout and on the invoice is the amount charged. At present VAT is not added to the membership price. Where VAT becomes applicable, it will be added as the law requires and shown at checkout and on the invoice.
  • About 7 days before a renewal we send you a reminder by Telegram or email.
  • Stripe sends receipts and invoices to the email address you provide.
  • If we change the price of your plan, we will tell you before the new price applies to you, and you can cancel before it does.

7. Cancellation

You can cancel at any time on the website in “My profile” → “Manage subscription”, which opens the Stripe Customer Portal. Cancellation takes effect at the end of the period you have already paid for. Your access continues until then. Unused days of the current period are not refunded automatically.

8. Failed payments

If a renewal payment fails, Stripe retries it up to 4 times over about 3 weeks. If all attempts fail, the subscription is cancelled and your access ends.

9. Refunds and the right of withdrawal

Apart from the cases described in these terms, we decide on refund requests case by case. Write to [email protected].

If you are a consumer and the law gives you a right to withdraw from a distance contract (in the EU, generally within 14 days of concluding the contract, without giving a reason), you keep that right. If, at your request, we start providing the service before the withdrawal period ends and you then withdraw, the law may require you to pay for the service provided up to the moment you told us about the withdrawal. For digital content and digital services, the law may also provide that the right of withdrawal is lost once supply has begun with your prior express consent. To withdraw, send a clear statement to [email protected] within the withdrawal period. We will handle the withdrawal and any refund as the law requires.

10. Community rules and confidentiality

  • Treat other members, founders and speakers with respect. No harassment, spam or unlawful content.
  • The group is closed. Deal materials, pitch decks, terms and other information shared in the group or at events are confidential. Do not forward, copy, screenshot or publish them outside the group, and do not share them with third parties without permission.
  • Do not advertise deals publicly or offer them to people outside the community.
  • Do not record sessions or redistribute recordings.

11. Suspension and termination by us

If you breach these terms, in particular the confidentiality rules, we may suspend or end your membership and remove you from the group. Where it is reasonable, we will warn you first and give you a chance to fix the breach.

12. Intellectual property

The website, Angel School materials, recordings and other content we provide belong to us or to our licensors. You may use them for your own personal purposes while your membership is active. You may not copy, sell, publish or share them with others without our written permission.

13. Liability

  • We are not responsible for your investment decisions or their results, for the actions of startups or SPVs, or for the content that other members post.
  • We are not responsible for interruptions caused by third-party services such as Telegram or Stripe, or by events beyond our reasonable control.
  • To the extent the law allows, our liability is limited. Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, or your mandatory rights as a consumer.

14. Changes to these terms

We may change these terms. We will tell members about material changes in advance by Telegram or email. If you do not agree, you can cancel before the changes apply to you. The current version is always on this page, with the date of the last update at the top.

15. Governing law and disputes

  • These terms are governed by the law of the Republic of Lithuania. If you are a consumer, you keep the protection of the mandatory rules of the country where you live.
  • Please contact us first at [email protected]; we will try to resolve the matter.
  • Consumers can also apply for out-of-court resolution of a consumer dispute to the State Consumer Rights Protection Authority of Lithuania (Valstybinė vartotojų teisių apsaugos tarnyba, vvtat.lrv.lt).
  • Disputes are resolved by the courts of Lithuania. This does not take away a consumer’s right to bring a claim in the courts of the country where they live, where the law gives that right.
  • If any provision of these terms is found invalid, the rest remain in force.
